- Introduction
These Terms and Conditions (“Terms”) govern your access to and use of the website, mobile applications, telemedicine platform, and related services (collectively, the “Services”) provided by Bright Health LLC (“Bright Health,” “we,” “our,” or “us”).
By accessing or using the Services, creating an account, booking a consultation, or otherwise interacting with Bright Health, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Services.
These Terms constitute a legally binding agreement between you and Bright Health LLC.
- Definitions
– Services means the Bright Health website, mobile applications, telemedicine platform, appointment scheduling, electronic medical records, laboratory and pharmacy coordination, health education, wellness programs, and all related healthcare and administrative services.
– User, you, or your means any individual who accesses or uses the Services.
– Healthcare Provider means a licensed physician, nurse practitioner, or other qualified healthcare professional who delivers care through the Services.
– Patient means a User who receives or seeks healthcare services through the platform.
– Health Information means medical records, consultation notes, diagnoses, prescriptions, laboratory results, and any other health-related data.
– Content means any text, images, data, or other materials uploaded, submitted, or transmitted through the Services.
- Eligibility
You must be at least 18 years of age (or the age of majority in your jurisdiction) to create an account and use the Services independently.
Minors may use the Services only under the supervision of a parent or legal guardian who accepts these Terms on their behalf and remains fully responsible for the minor’s use of the Services.
You represent and warrant that all information you provide is accurate, complete, and current, and that you have the legal capacity to enter into these Terms.
- User Accounts
To access certain features, you must create an account. You agree to:
– Provide accurate, complete, and up-to-date registration information.
– Maintain the confidentiality of your login credentials.
– Notify us immediately of any unauthorized use of your account.
– Accept full responsibility for all activities that occur under your account.
Bright Health reserves the right to suspend or terminate accounts that contain false information, are inactive for an extended period, or violate these Terms.
- Telemedicine Services
Bright Health provides telemedicine consultations that allow Patients to connect remotely with licensed Healthcare Providers via audio, video, or other electronic means.
By using telemedicine services, you acknowledge and agree that:
– Remote consultations have inherent limitations compared to in-person examinations.
– Certain conditions may require physical examination, laboratory testing, or emergency care that cannot be adequately addressed via telemedicine.
– Technical issues (connectivity, device failure, etc.) may interrupt or limit a consultation.
– Healthcare Providers may, at their professional discretion, recommend that you seek in-person care or emergency services.
– Telemedicine is not a substitute for emergency medical care. In a medical emergency, you must contact local emergency services immediately.
- Medical Disclaimer
The Services do not create a doctor-patient relationship until a Healthcare Provider has accepted you as a patient and begun a consultation.**
Bright Health is a technology platform that facilitates connections between Patients and independent Healthcare Providers. Bright Health itself does not practice medicine and is not a healthcare provider.
All medical advice, diagnoses, treatment recommendations, and prescriptions are provided solely by the individual Healthcare Providers. Bright Health does not control, supervise, or guarantee the quality, accuracy, or outcomes of any medical advice or treatment.
You should never disregard professional medical advice or delay seeking it because of information obtained through the Services.
- Healthcare Provider Responsibilities
Healthcare Providers who use the Services are independent professionals responsible for:
– Maintaining valid professional licenses and credentials in the jurisdictions where they practice.
– Providing care consistent with applicable professional standards and ethical guidelines.
– Exercising independent clinical judgment.
– Maintaining the confidentiality of Patient Health Information in accordance with applicable laws and these Terms.
Bright Health does not employ Healthcare Providers as employees for the purpose of delivering clinical care (unless expressly stated otherwise) and is not liable for their independent professional acts or omissions.
- Patient Responsibilities
As a Patient, you agree to:
– Provide complete, accurate, and honest medical history and current information.
– Follow the treatment plans and instructions given by your Healthcare Provider.
– Inform the Healthcare Provider of any changes in your condition, medications, or allergies.
– Seek emergency care when appropriate.
– Use the Services only for legitimate healthcare purposes.
– Refrain from any fraudulent, abusive, or unlawful activity.
Failure to fulfill these responsibilities may affect the quality of care you receive and may result in termination of your access to the Services.
- Appointments and Consultations
Appointments may be scheduled through the platform subject to Healthcare Provider availability.
You are responsible for appearing (or joining remotely) on time. Bright Health and Healthcare Providers reserve the right to cancel or reschedule appointments due to technical issues, Provider unavailability, or other legitimate reasons.
Cancellation and rescheduling policies will be communicated at the time of booking or in your account dashboard. Repeated late cancellations or no-shows may result in restrictions on future bookings.
- Payments, Subscriptions, and Billing
Certain Services require payment. Fees, subscription plans, and billing terms will be clearly displayed before you complete a purchase.
By providing payment information, you authorize Bright Health (and its payment processors) to charge the applicable amounts. You are responsible for ensuring that your payment method remains valid and has sufficient funds.
Subscription services renew automatically unless cancelled in accordance with the cancellation terms provided at the time of purchase. You may cancel subscriptions through your account settings or by contacting support.
- Prescriptions
Prescriptions may be issued by Healthcare Providers only when clinically appropriate and in accordance with applicable laws and professional standards.
Bright Health does not guarantee that a prescription will be issued. Providers may decline to prescribe certain medications (including controlled substances) based on clinical judgment, regulatory restrictions, or platform policies.
You are responsible for ensuring that any prescribed medication is obtained from a licensed pharmacy and used only as directed.
- Laboratory and Pharmacy Services
Bright Health may facilitate coordination with third-party laboratories and pharmacies. These providers operate independently. Bright Health is not responsible for the accuracy of laboratory results, the quality of pharmaceutical products, or the actions of these third parties, except to the extent required by applicable law.
You authorize Bright Health to share necessary Health Information with laboratories and pharmacies solely for the purpose of fulfilling your requests.
- Insurance and Third-Party Payers
Bright Health may accept certain insurance or third-party payment arrangements where available. Coverage is not guaranteed.
You remain responsible for any charges not covered by insurance, including deductibles, co-pays, and non-covered services. It is your responsibility to verify coverage with your insurer before receiving services.
- Payments and Refund Policy
All fees are generally non-refundable once a consultation has been completed or a service has been rendered, except where required by law or expressly stated otherwise.
Refund requests related to technical failures, Provider cancellations, or other platform issues will be reviewed on a case-by-case basis. Approved refunds will be issued to the original payment method within a reasonable timeframe.
- Artificial Intelligence and Digital Health Tools
Bright Health may use artificial intelligence (AI) and other digital tools to support triage, documentation, clinical decision support, administrative efficiency, and personalized recommendations.
AI tools are intended to assist Healthcare Providers and improve the Services. They do not replace the independent clinical judgment of licensed professionals. Final medical decisions remain the responsibility of the treating Healthcare Provider.
- User Content
You retain ownership of any Content you submit. By submitting Content, you grant Bright Health a non-exclusive, worldwide, royalty-free license to use, store, process, and display such Content solely as necessary to provide and improve the Services and to comply with legal obligations.
You represent that you have all necessary rights to submit the Content and that it does not violate any third-party rights or applicable laws.
- Acceptable Use
You agree not to:
– Use the Services for any unlawful, harmful, or fraudulent purpose.
– Impersonate any person or misrepresent your identity or medical condition.
– Attempt to gain unauthorized access to any systems, accounts, or data.
– Upload malware, viruses, or other harmful code.
– Interfere with or disrupt the Services.
– Use the Services to harass, threaten, or harm others.
– Scrape, reverse-engineer, or otherwise misuse the platform.
Violation of this section may result in immediate suspension or termination of your access and may be reported to appropriate authorities.
- Intellectual Property
All content, trademarks, logos, software, and intellectual property on the Services (excluding User Content) are owned by or licensed to Bright Health LLC and are protected by applicable intellectual property laws.
You may not copy, modify, distribute, sell, or create derivative works from any part of the Services without prior written permission.
- Privacy and Confidentiality
Our collection, use, and protection of your Personal Data and Health Information are governed by our Privacy Policy, which is incorporated into these Terms by reference.
Healthcare Providers and authorized personnel are required to maintain the confidentiality of Health Information in accordance with applicable laws and professional standards.
- Third-Party Services
The Services may integrate with or link to third-party websites, applications, laboratories, pharmacies, or payment processors. Bright Health is not responsible for the availability, accuracy, or practices of these third parties. Your use of third-party services is subject to their own terms and privacy policies.
- Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
BRIGHT HEALTH DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY MEDICAL OUTCOME WILL BE ACHIEVED.
- Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BRIGHT HEALTH LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES.
BRIGHT HEALTH’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO BRIGHT HEALTH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR ONE HUNDRED US DOLLARS IF YOU HAVE NOT MADE ANY PAYMENTS).
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, THE LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.
- Indemnification
You agree to indemnify, defend, and hold harmless Bright Health LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
– Your use of the Services
– Your violation of these Terms
– Your violation of any law or third-party rights
– Any Content you submit
- Suspension and Termination
Bright Health may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we determine violates these Terms, is harmful to other users, or is otherwise inappropriate.
You may stop using the Services and request account deletion at any time, subject to any outstanding obligations and applicable record-retention requirements.
- Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Cameroon, without regard to its conflict of law principles.
Any legal action arising out of or relating to these Terms shall be brought exclusively in the competent courts of Douala, Cameroon, unless otherwise required by mandatory applicable law.
- Dispute Resolution
In the event of any dispute arising out of or relating to these Terms or the Services, the parties shall first attempt to resolve the matter amicably through good-faith negotiations.
If the dispute cannot be resolved amicably within thirty (30) days, either party may pursue available legal remedies in accordance with Section 25.
- Changes to These Terms
We may update these Terms from time to time. The “Last Updated” date will reflect the most recent revision. Material changes will be notified by posting the updated Terms on the Services or through other reasonable means.
Your continued use of the Services after the effective date of any changes constitutes acceptance of the revised Terms.
- Severability and Entire Agreement
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
These Terms, together with the Privacy Policy and any additional terms presented at the time of specific transactions, constitute the entire agreement between you and Bright Health regarding the Services and supersede all prior agreements.
